This talk concerns a subject of great importance (a) for trade secret law in the United States, (b) for attorneys and judges who litigate and adjudicate trade secret cases, and (c) for transactional attorneys who handle matters involving trade secrets. The new, federal Defend Trade Secrets Act (DTSA) was passed, in part, due to concerns that there was a lack of uniformity in the law under the Uniform Trade Secrets Act (UTSA), which has been adopted in 48 of the 50 states. The DTSA was intended to remedy such lack of uniformity by creating federal trade secret law, with “a single, national, standard... with clear rules and predictability for everyone involved.” Senate and House Judiciary Committees’ Reports on the DTSA. But neither the terms of the DTSA, nor its legislative history, indicates how federal courts are to create such uniform federal trade secret law under the DTSA. In this Talk, Mr. Huston proposes how federal courts should use portions of the last 35+ years of case law under the UTSA, to create that “single, national standard,... with clear rules and predictability,” as to what constitutes a “trade secret” and “misappropriation” under the DTSA.
