- Broker-Dealer Regulation and SEC Enforcement
- The Broker-Dealer Regulation and SEC Enforcement Committee sponsors
programs relating to the regulation of securities, with special emphasis
on broker-dealer regulation and SEC enforcement issues. Recent programs
have included current SEC priorities, the new FINRA, Hedge Fund enforcement
and compliance programs, FCPA developments, and a four-part program
on defending issuers in SEC enforcement investigations, representing
issuers in listing issues before NASDAQ, and representing broker-dealers
in NASDR investigations. The committee also sponsors speeches by senior
members of the SEC staff, including the director of the Division of
Enforcement, and the general counsel, as well as The Director of Enforcement
at FINRA.

- The committee’s purposes are to keep its members abreast of

- Investment Management
- The Investment Management Committee provides a means for investment
management professionals to meet one another and exchange information.
This committee is composed of a diverse group that includes SEC regulators,
senior professionals, and those just starting out. The committee sponsors
lunches throughout the year to discuss current regulatory and industry
issues affecting investment advisors and investment companies. The director
of the SEC’s Division of Investment Management typically gives
an annual address to the committee, discussing current issues and future
SEC initiatives.

- The Privately-Held and Emerging Business Committee presents programs
addressing the unique legal and business issues associated with the
representation of technology and other emerging and start-up businesses.
Such issues include the legal aspects of choice of entity, capital raising,
strategic alliances, protecting and licensing intellectual property,
and employment, compensation, and benefit issues.

- Project and Structured Finance
- The mission of the Project and Structured Finance Committee is to
provide a forum for the discussion of current legal developments relating
to international and domestic financial transactions which are structured
on a project or structured finance basis, i.e. where the lender’s
primary recourse is to the revenue streams and/or assets of a discrete
project or other commercial activity. The Project and Structured Finance
Committee consists of members with diverse backgrounds as both in-house
and outside counsel for developers, financial institutions, multi-lateral
agencies, suppliers of goods and services, and other entities involved
in the project and structured finance arena. Experienced project and
structured finance practitioners and those interested in learning more
about the field are urged to join.
