The New Law on LLCs in the District of Columbia and Amendments to the New Title 29-Business Organizations

Description: As of January 1, 2012, the District of Columbia has enacted a new Title 29 - Business Organizations that gathers all of the business entity laws in one title and which adopts uniform or model acts for business entities.  The new limited liability company law is the Revised Uniform Limited Liability Company Act (RULLCA) which is in effect for all limited liability companies on January 1, 2013.  A technical amendments act to Title 29 was introduced in 2011.  This course will provide an overview of the new Title 29 with an emphasis on LLCs under the RULLCA, structuring LLCs and drafting operating agreements.  The course also will summarize regulations that have been promulgated under the new Title 29.
