Description: Corporate counsel face unique ethics issues, including conflicts of interest, confidentiality, corporate wrongdoing, and compliance with the Sarbanes-Oxley Act requirements. This lively, fast-paced program will use hypotheticals to explore the following issues, and more:
Dangers of not properly identifying your exact client within the corporate entity (Is it the audit committee? The board? The corporation?)
What do you do when one of your client's affiliates disagrees with another affiliate?
Who owns the attorney-client relationship after a company you represent sells its stock or assets?
Can a law firm represent one of your client's affiliates while taking a matter adverse to another affiliate?
How do you handle requests for privileged documents from employees and former employees of the company you represent?
What is the “fiduciary exception” and when does it apply?
What are your ethical duties if you learn about wrongdoing by your company contact?
What are the risks of an overly wide circulation of protected communications within the corporation?
What are the risks of disclosing protected communications outside the company to consultants, outside auditors, or the government?
Can you limit your liability as an in-house lawyer?
Can you serve on a client's board of directors?
To what extent can you suggest or “coach” your employees to engage in ex parte communications with another company's employees?
Must you review metadata of electronic documents that you receive from an adversary?
