This moderated panel discussion will focus on issues relating to the practice of plurality voting in the uncontested elections of public company directors, including an evaluation of reform efforts by investors and others to encourage or require public corporations to adopt majority voting and eliminate un-elected or zombie directors. Panelists include: Jonah Crane, Legislative Assistant, Office of Senator Charles E. Schumer (D-NY); Edward J. Durkin, Director, Corporate Affairs Department, United Brotherhood of Carpenters and Lisa M. Fairfax, Leroy Sorenson Merrifield Research Professor of Law, The George Washington University Law School. Jeff Mahoney, General Counsel, Council of Institutional Investors, will moderate the discussion and solicit questions from the audience.
